If you do not agree with all of these Terms, you must discontinue your use of the Services immediately.

6. CONTRIBUTION LICENSE

By submitting any Contributions to our Services, you grant us a non-exclusive, worldwide, royalty-free, irrevocable license to use, reproduce, modify, publish, and distribute your Contributions for any lawful purpose. We are not obligated to provide any compensation for your Contributions.

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Iowa, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the federal and state courts located in Iowa for the resolution of any disputes arising out of or in connection with these Terms or your use of the Services.

11. DISPUTE RESOLUTION

Informal Negotiations:
Before initiating any formal dispute resolution process, both parties agree to attempt in good faith to resolve any dispute, controversy, or claim arising out of these Terms through informal negotiations for a minimum period of 180 days.

Binding Arbitration:
If informal negotiations fail, any dispute that is not excluded from arbitration will be resolved by binding arbitration administered by an agreed-upon arbitration institution. Any arbitration will be conducted individually and not as part of a class action. Details regarding the arbitration process, including the number of arbitrators, location, and language, will be provided in a separate arbitration agreement.

Exceptions:
Certain disputes, including those involving intellectual property rights or claims for injunctive relief, may be resolved in court rather than through arbitration.

12. CORRECTIONS

Occasionally, there may be information on our Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on our Services at any time without prior notice.

14. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE, OR OUR OFFICERS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR LIABILITY, IF ANY, SHALL BE LIMITED TO THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

15. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Happy Hair Salon LLC, its subsidiaries, affiliates, officers, agents, and employees from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) arising from or related to your use of the Services, your breach of these Terms, or your violation of any rights of another party.

We may maintain certain data that you transmit to the Services for performance management and analysis. While we perform regular backups of data, you are solely responsible for maintaining your own backup copies. We assume no liability for any loss or corruption of data transmitted via the Services.
